Terms of Service
These Terms of Service ("Terms") govern your access to and use of Drasten's website and software service for photographer invoicing and client management (the "Service"), offered by Drasten ("we", "us") at drasten.com. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Eligibility and accounts
You must be able to form a binding contract in your jurisdiction. You are responsible for the accuracy of information you provide, keeping your credentials secure, and all activity under your account. Notify us promptly if you suspect unauthorized access.
The Service
We provide tools to manage clients, create and send invoices, and collect payments through third-party providers (e.g. Stripe). Features, limits, and availability may change. We may suspend or modify the Service for maintenance, security, or legal reasons, with or without notice when reasonable.
Subscriptions and fees
Paid plans, pricing, and billing terms are presented in the product (e.g. Settings → Billing). Fees are charged as described at checkout or in your plan. Taxes may apply. Failure to pay may result in suspension or termination of paid features.
Payments
Payment processing is provided by Stripe (or other processors we enable). Your use of those services is subject to their terms and policies. We are not responsible for processor downtime, disputes between you and your clients, or chargebacks except as required by law or our separate agreements with you.
Your content and data
You retain rights to content you submit (e.g. client names, invoice text, branding). You grant us a license to host, process, and display that content solely to operate and improve the Service for you. You represent that you have the rights needed to submit the content you upload.
Acceptable use
You agree not to:
- Use the Service unlawfully, to defraud others, or to send spam or misleading communications;
- Attempt to gain unauthorized access to our systems, other accounts, or third-party services;
- Reverse engineer, scrape, or overload the Service except as allowed by law;
- Use the Service in a way that infringes others' intellectual property or privacy rights.
We may suspend or terminate access for violations of these rules or these Terms.
Intellectual property
The Service, including its design, branding, and underlying software, is owned by us or our licensors. These Terms do not grant you any rights to our trademarks or proprietary materials except the limited right to use the Service as offered.
Disclaimer of warranties
The Service is provided "as is" and "as available" to the fullest extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement where allowed.
Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for claims relating to the Service in any twelve-month period is limited to the greater of (a) amounts you paid us for the Service in that period or (b) one hundred U.S. dollars (USD 100), except where liability cannot be limited by applicable law.
Indemnity
You will defend and indemnify us and our affiliates, officers, and employees against claims, damages, and costs (including reasonable attorneys' fees) arising from your content, your violation of these Terms, or your misuse of the Service, to the extent permitted by law.
Termination
You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, non-payment, risk to the Service or others, or as required by law. Provisions that by their nature should survive (e.g. liability limits, indemnity) will survive termination.
Changes
We may update these Terms. We will post the new version on this page and update the "Last updated" date. If changes are material, we may provide additional notice (e.g. email or in-product message). Continued use after the effective date constitutes acceptance of the revised Terms where permitted by law.
Governing law
These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules, unless mandatory consumer protection laws in your country require otherwise.
